Nikki Smith is a member of the firm’s corporate and securities practice group. Her practice is focused on advising clients on a variety of corporate matters, including mergers and acquisitions, corporate organization, private equity financing, deal negotiation, and SEC reporting and corporate governance. Nikki has experience assisting clients develop business solutions, structure and form business entities, prepare shareholder and director approvals, and draft purchase agreements and other transaction documents.
Represented a private equity fund in the sale of its aerospace portfolio company, including diligence functions and preparation of ancillary acquisition agreements.
Represented public company in connection with multiple rounds of tender offers and tender exchange offers valued in excess of $1.5 billion.
Represented clients in the preparation of public company proxy statements and broker-dealer’s Form CRS.
