Representative Matters

Real Estate

• Counsel to Nevada-based real estate development company on the $125 million acquisition of a 10-acre site on Las Vegas Boulevard from a public entity, including complex diligence related to existing agreements requiring amendment.
• Local (Nevada) counsel to a major financial institution on a $2+ billion construction loan for a branded resort property Las Vegas Strip, including Nevada-related zoning/land use diligence and loan structuring.
• Lead counsel to the University of Nevada, Las Vegas on various public private partnership agreements for the Kirk Kerkorian School of Medicine and various other health-care related agreements.
• Lead counsel to the University of Nevada, Las Vegas on development, operations agreements and easements with The Boring Company for placement of tunneling and a station on university property.
• Lead counsel to national developer and luxury club operator in connection with a 600-acre master-planned community with an $800 million total sell-out, including complex structuring, master-planned community documentation, sales documentation, state and federal filings, and homeowners’ association turnover.
• Lead counsel to developer on the marquee branded mixed-use development in Clark County, including legal structuring, composition of all sales and condominium documentation, common-interest community structuring, and local counsel for a $1+ billion construction loan with mezzanine and preferred equity components.

Legislation

• Instrumental in drafting Assembly Bill 431, now Chapter 116B of the Nevada Revised Statutes, which addresses the creation, structure and operation of condominium hotels; the first legislation of its kind in the United States
