Biography

Lucinda Iheaso’s practice focuses on mergers and acquisitions, business formations, corporate governance, commercial contract negotiations, and healthcare regulatory matters as a member of the firm’s Corporate & Securities Practice Group.

Lucinda regularly advises private companies, private equity sponsors, and other institutional clients across all stages of M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments. She assists clients in conducting legal due diligence and drafting ancillary closing documents. Lucinda also coordinates the execution and closing of complex deals across a variety of industries.

Lucinda also assists clients in devising business solutions, forming business entities, preparing shareholder and director approvals, and advising on a range of corporate governance matters, including board and committee structures, fiduciary duties, governance policies, and ongoing entity maintenance and compliance.

In addition to her transactional practice, Lucinda counsels clients on the negotiation and structuring of a broad range of commercial contracts. She works closely with clients to identify and address key business and legal risks while helping to ensure that contractual terms align with their broader commercial objectives.

Lucinda assists healthcare clients with compliance with federal and state healthcare laws and regulations, including the Anti-Kickback Statute, the Stark Law, HIPAA, and state licensure requirements. She advises healthcare industry clients on regulatory filings, government reporting obligations, and the design and implementation of compliance programs tailored to mitigate regulatory risk.
