Caitlin Pyatt is an associate in the firm’s Corporate and Securities Practice Group, where she focuses on mergers and acquisitions, corporate finance, SEC reporting, corporate governance, and other general corporate and securities matters.
Caitlin has experience advising clients on mergers and acquisitions, capital raising transactions, and other corporate matters across a range of industries. Her M&A experience includes assisting in the representation of sellers in transactions involving strategic acquirers in the media and technology sectors, as well as supporting buyers in acquisitions of cybersecurity and software companies. She drafts and negotiates key provisions of acquisition agreements, financing documents, and ancillary transaction documents, and assists with legal due diligence and the preparation of closing deliverables, including board and shareholder approvals and legal opinions. Caitlin also assists clients with business formation and organizational matters, including entity selection and the preparation of formation and governing documents.
Within her securities practice, Caitlin focuses on SEC reporting obligations and corporate governance matters. She regularly reviews and drafts a wide variety of SEC filings, including Proxy Statements, Forms 8-K, 10-Q, and 10-K, as well as other disclosure documents. Caitlin also has experience supporting issuers in public and private offerings of debt and equity securities and assisting with the preparation of related offering documents.
In addition, Caitlin prepares and reviews commercial agreements, including licensing agreements, non-disclosure agreements, and service agreements in connection with her general corporate practice.
