• Represented sellers in multimillion-dollar sale of 200 plus-unit, independent living, assisted living, and memory care senior housing community to a public, non-traded real estate investment trust (REIT)
• Represented cold storage facility company in business formation including a multimillion-dollar investment from a private equity firm
• Represented cold storage facility company in multimillion-dollar acquisitions of real estate and other existing business operations
• Represented seller in its sale to a leading developer, designer, and marketer of consumable medical products
• Represented loyalty and marketing technology provider in sale to company specializing in land-based casino gaming content and products
• Represented communications company in acquisition of business developing usable applications and intellectual property related to captioned calls and related services

Corporate

• Drafted organizational documents for limited liability companies, corporations, and partnerships, including but not limited to articles, certificates, bylaws, operating agreements, shareholder agreements, partnership agreements, board resolutions, and member consents
• Drafted private placement memorandum (PPM) for development company seeking multimillion dollar investment to use on mixed-use community development projects as well as luxury residential living spaces and hotels
• Drafted legal opinions as local counsel and lead counsel for debt financing transactions
• Represented borrower in multimillion dollar debt and preferred equity financing for hotel development project
