Following a Legal Alert about the impending Red Flag Rules for credit providers is a discussion about recent developments in Delaware case and statutory law. Specifically, we discuss recent case law developments pertaining to directors' duties in change of control situations. On the statutory front, we summarize recently adopted amendments to the Delaware General Corporation Law, including optional changes relating to procedures for shareholders to nominate directors.
