Nida Rais is a technology transactions lawyer who advises clients on complex commercial transactions involving technology, privacy, data rights, licensing, and strategic collaboration. She represents companies ranging from emerging growth businesses to established enterprises across industries to structure, negotiate, and execute complex transactions that support the development, commercialization, and protection of their assets, with particular experience in technology-driven transactions. Nida is known for a practical, business-oriented approach that aligns legal strategy with clients’ operational and commercial objectives.
Technology, Privacy, and Commercial Transactions
Nida advises clients on a broad range of technology transactions and commercial agreements, with a focus on software and SaaS agreements, licensing, and strategic collaborations. She works with companies to develop, acquire, commercialize, and protect their technology and data assets, and regularly structures transactions involving proprietary platforms, intellectual property, privacy, and data rights. She also has experience in the licensing and collaboration space, including drafting and negotiating agreements related to the research, development, and commercialization of technology and life sciences innovations. Nida regularly works with intellectual property and cross-functional legal, business, and technical teams to structure arrangements involving proprietary technology, platforms, and data with product strategy, operational realities, and risk management objectives. In addition, Nida routinely drafts and negotiates distribution arrangements, as well as vendor and supply chain agreements.
Artificial Intelligence
Nida advises clients on legal and commercial issues related to artificial intelligence, including the development, licensing, and use of AI-enabled technologies. Her experience includes structuring and negotiating agreements involving AI-enabled products and services across multiple legal domains, including data usage, governance, and intellectual property considerations. She helps clients navigate emerging risks associated with AI, including regulatory uncertainty, data provenance, and model usage, and provides practical guidance on incorporating AI considerations into commercial agreements and governance frameworks.
Healthcare Technology
Nida counsels healthcare and digital health clients – including providers, health systems, and technology-enabled healthcare companies – on a variety of commercial, operational, and data use matters. Nida has experience advising healthcare organizations including providers, health systems, and technology enabled healthcare companies on contractual arrangements, data-related issues, and compliance considerations. Nida supports clients in implementing technology solutions and addressing associated business and legal risks in the healthcare ecosystem.
