The evolving components of compliance requirements have become increasingly important within an ever-expanding global economy, as is keeping abreast of effective compliance programs and meeting the demand for operational transparency.  New compliance issues include the U.S. Supreme Court’s March 4, 2014 decision in Lawson v. FMR LLC, which expanded federal whistleblower law to include contractors and subcontractors of public companies.  In-house legal departments have reported that a significant portion of future legal budgets will be dedicated to compliance and risk management. Due to existing laws, such as Sarbanes–Oxley and Dodd-Frank, and established “best practices” associated with the fiduciary duties of directors and officers, dedicating additional resources to compliance efforts may be justified.
