Chad Hoopes advises a variety of clients on a broad range of corporate and real estate matters. Clients use his experience handling business structuring, equity offerings, business sales, mergers and acquisitions, licensing arrangements and customer agreements. Chad also has a wealth of real estate experience involving the development, purchase, sale and leasing of condominiums, condominium hotels, hotels and resorts. In addition, he helps real estate clients navigate compliance with federal securities laws and the Interstate Land Sales Full Disclosure Act relating to real estate offerings.
Chad draws from his pre-legal career experience as a co-founder of a technology company to provide practical advice and solutions that balance legal requirements with business practicalities. His varied experience and background is well-aligned for advising companies needing outside general counsel to operate successful businesses.

- Represented holding company in a $25,000,000 equity investment in an oil and gas operating company and subsequent investments in the same company
- Advised emerging technology company in securing bridge financing and the adoption of an employee stock option plan
- Assisted subscription management software company in connection with its acquisition by a provider of global e-commerce solutions
- Advised national third-party administrator of vision services in its acquisition by a publicly held eye care services company
- Served as counsel for the Trump International Hotel – Las Vegas, a high-rise hotel condominium tower with 1,284 units, to assist with all aspects of development including HUD registration and condominium documents, compliance with securities laws, development of rental program and creation of hotel rules and regulations
- Advised CityCenter Las Vegas, a master-planned urban complex located on the Las Vegas Strip, with development including HUD registration and condominium documents and reciprocal easement agreements
